Applicable Law
These Terms and Conditions and any agreement incorporating them are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Subject to any mandatory statutory adjudication or dispute-resolution procedure, the parties submit to the jurisdiction of the courts of Alberta.

Additional Terms for Clients

  • Quotation Terms and Pricing: Quotes are based on our evaluation of the project and site conditions at the time of the walk-through. Pricing does not include unforeseen price increases, new government tariffs or taxes imposed after the date of the quote, or additional labour and materials required due to concealed or unforeseen conditions. Quotes are valid for 15 days unless otherwise stated. GST is extra. Final cleaning is not included unless specifically stated. Construction dust may occur during and after the work.
  • Acceptance of Quotation: The Client must accept the Quotation prior to commencement of work, unless otherwise agreed in writing. Acceptance may be provided by electronic approval through QuickBooks, written acceptance by email, or by signing a paper copy of the Quotation in person. Any of these methods constitutes the Client’s acceptance of the Quotation, the stated scope of work, pricing, and all applicable Fox Construction Services Inc. Terms and Conditions. If the Client requests or authorizes Fox Construction Services Inc. to commence work before formally accepting the Quotation through one of these methods, the Client will be deemed to have accepted the Quotation and all applicable Terms and Conditions.
  • Payment Terms: Payment is due upon receipt of invoice unless otherwise stated. Overdue amounts are subject to interest at 2% per month, compounded monthly, equivalent to an effective annual rate of approximately 26.82%, calculated from the date payment is due until paid, subject to applicable law. Payments may be made via Interac e-Transfer, EFT, certified cheque, or credit card through QuickBooks.
  • Emergency Work: In the event that emergency work is required to prevent further damage or to restore essential function, Fox Construction Services Inc. may proceed without a signed Quotation. By requesting or permitting such emergency work, the Client agrees to pay all associated costs based on time, materials, and any necessary equipment used.
  • Changes and Additional Work: Any changes to the agreed scope of work, including Client-requested changes or additional work identified during the project, may result in additional costs and/or changes to the project schedule. Fox Construction Services Inc. will provide the Client with a written description of the change and, where reasonably possible, the associated price and schedule impact before proceeding. Changes may be authorized by signed change order, email, text message, QuickBooks approval, or other documented written approval. Emergency work is subject to the Emergency Work provision above.
  • Concealed or Unforeseen Conditions: Quotations are based on conditions that are visible or reasonably identifiable at the time of the estimate or site assessment. Fox Construction Services Inc. is not responsible for concealed or unforeseen conditions, including but not limited to rot, water damage, mold, asbestos or other hazardous materials, structural deficiencies, hidden plumbing or electrical conditions, code deficiencies, underground or concealed services, or previous improper construction. If such conditions are discovered, work may be paused while the issue is assessed. Any additional work, materials, testing, remediation or professional services required will be treated as additional work and may result in additional costs and/or schedule changes.
  • Project Scheduling and Delays: Project start dates, completion dates and schedules are estimates unless specifically guaranteed in writing. Fox Construction Services Inc. will make reasonable efforts to complete the work within the anticipated schedule but is not responsible for delays caused by circumstances beyond its reasonable control, including weather, material or product shortages, supplier delays, permit or inspection delays, Client-requested changes, concealed conditions, subcontractor or trade availability, utility interruptions, emergencies, or other events outside our reasonable control. Where practical, Clients will be advised of significant scheduling changes.
  • Site Access and Client Responsibilities: The Client is responsible for providing Fox Construction Services Inc. and its subcontractors with safe and reasonable access to the work area during agreed working hours. The Client must ensure that work areas are reasonably clear of personal belongings and that pets, children and occupants are kept safely away from active construction areas. Unless otherwise agreed, the Client is responsible for providing reasonable access to electricity, water and other existing utilities required to perform the work. Delays or additional work caused by restricted access, unsafe conditions or failure to prepare the work area may result in additional charges and/or schedule changes.
  • Client-Supplied Materials: Where the Client supplies materials, fixtures, equipment or products, the Client is responsible for ensuring they are suitable for the intended application, available when required, complete, undamaged and supplied in sufficient quantity. Fox Construction Services Inc. is not responsible for manufacturer defects, product failures, shortages, delivery delays, warranty issues or compatibility problems relating to Client-supplied products. Additional labour, trips or delays resulting from missing, incorrect, defective or unsuitable Client-supplied materials may be charged as additional work. Fox Construction Services Inc. remains responsible for the quality of its own installation workmanship.
  • Material Availability and Substitutions: Materials and products specified in a Quotation are subject to availability. If a specified product becomes unavailable, discontinued, significantly delayed or subject to a material price change, Fox Construction Services Inc. will advise the Client and may recommend a reasonably comparable alternative. Any substitution that materially changes the appearance, specifications or price of the project will be discussed with and approved by the Client before installation.
  • Permits and Inspections: Responsibility for obtaining required permits, approvals and inspections will be identified in the Quotation or project agreement where applicable. Where Fox Construction Services Inc. is responsible for obtaining permits or coordinating inspections, associated fees are included only where specifically stated in the Quotation. All work requiring permits or inspections remains subject to the requirements and decisions of the applicable authority having jurisdiction. Additional work required by an inspector or authority that was not included in the original scope may constitute additional work.
  • Suspension of Work: Fox Construction Services Inc. may suspend work, to the extent permitted by applicable law, where payment is overdue, safe or reasonable access to the site is not available, unsafe working conditions exist, required Client decisions or approvals have not been provided, required Client-supplied materials are unavailable, or continuation of the work would contravene applicable laws, permits or safety requirements. A suspension may result in reasonable schedule adjustments and additional costs associated with demobilization, remobilization or delays. Nothing in this provision is intended to override any mandatory payment, notice or adjudication requirement under Alberta law. Alberta's Prompt Payment and Construction Lien Act establishes mandatory payment and dispute procedures for applicable construction contracts.
  • Deficiencies and Warranty: Any concern regarding completed work must be reported to Fox Construction Services Inc. within a reasonable time after it is discovered. Fox Construction Services Inc. must be provided a reasonable opportunity to inspect the reported issue and, where the issue results from our workmanship and is covered by an applicable warranty, to correct it. Fox Construction Services Inc. is not responsible for normal wear and tear, misuse, neglect, damage caused by others, building movement, pre-existing conditions, Client-supplied product defects, manufacturer defects, or work subsequently altered or repaired by another contractor, except where otherwise required by law.
  • Cancellation or Termination: Subject to any cancellation rights provided by applicable law, a Client who wishes to cancel a project after accepting a Quotation must provide written notice to Fox Construction Services Inc. The Client may be responsible for work performed up to the date of cancellation, materials or products already purchased or specially ordered, non-refundable supplier or restocking charges, committed subcontractor costs, and reasonable costs associated with cancellation, demobilization or securing the work site, to the extent permitted by law.
  • Collection Costs: Where an account remains unpaid and collection action becomes necessary, the Client may be responsible for reasonable collection costs, collection agency charges, legal costs and other expenses incurred by Fox Construction Services Inc. in recovering amounts properly owing, to the extent permitted or recoverable under applicable law. This is in addition to any applicable interest on overdue amounts.
  • Dispute Resolution: If a dispute arises regarding the work, payment, scope, deficiencies or interpretation of the agreement, the parties agree to first make reasonable efforts to resolve the matter through direct communication and good-faith negotiation. Nothing in these Terms limits any right to adjudication, lien remedies or other procedures available under Alberta's Prompt Payment and Construction Lien Act or other applicable legislation. If the dispute cannot otherwise be resolved, either party may pursue the remedies available to it under Alberta law.

Additional Terms for Subcontractors

  • No Additional Charges: Subcontractors must not incur or invoice any additional charges without obtaining prior written approval from Fox Construction Services Inc.
  • All invoices must be submitted to foxconstructionservicesinc@gmail.com.
Invoices will be processed only after Fox Construction Services Inc. has received payment from the client.
  • Subcontractors are required to maintain valid WCB coverage and provide a current WCB clearance letter for the entire period from the start of work until payment is received.
  • Subcontractors must provide clear photo documentation of completed work as part of their submission requirements.
  • Any tools, equipment, or materials belonging to the subcontractor that remain on site 30 days after completion of work will be deemed abandoned property. Fox Construction Services Inc. reserves the right to remove, store, or dispose of abandoned items at its sole discretion, without compensation to the subcontractor. Fox Construction Services Inc. assumes no responsibility for loss, damage, or disposal of any items left on site beyond the 30‑day period.

Pricing & Invoicing Policy

Fox Construction Services Inc. does not provide or disclose internal supplier pricing, wholesale rates, markups, overhead allocations, internal labour costing, cost structures, or other proprietary pricing information. All pricing reflects the contracted scope of work, labour, materials, equipment, subcontracted services, project administration, and associated project requirements. Estimates and invoices will provide sufficient detail to identify the work or services being quoted or billed and will include any information required by the applicable contract or law.

Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will indicate on our website when these Terms and Conditions have been updated.
